BKV Energy Realtor Referral Income Program Terms and Conditions

1. Overview

These Terms and Conditions (“Terms”) govern your participation in the BKV Energy Realtor Referral Income Program (“Program”) offered by BKV-BPP Retail, LLC dba BKV Energy (“BKV Energy”, “we”, “our”, or “us”). By participating in the Program, you agree to comply with these Terms in full.

This Program is designed to reward eligible real estate professionals, brokerages, leasing offices, and property managers who refer residential customers to BKV Energy in eligible service areas.

2. Eligibility

To participate, you must:

• Be a licensed real estate professional or an authorized representative of a registered brokerage, residential leasing office, or property management firm
• Register with BKV Energy and receive a unique referral code and/or link
• Comply with any and all applicable laws and professional standards in your jurisdiction

We reserve the right to verify eligibility and may revoke access to the Program at our discretion.

3. Referral Requirements

A referral will be deemed eligible for a reward if:

• The referred customer enrolls in one of BKV Energy’s Bluebonnet or Bluebonnet Green residential electricity plans using your unique referral code or link
• The referred customer’s account becomes active and begins receiving electricity supply from BKV Energy
• The referred customer’s account remains in good standing with no cancellations, reversals, returned payments, or overdue payments within the first 60 days of supply

BKV Energy reserves the right to reject referrals suspected of fraud, duplicate accounts, identity theft, or ineligible activity.

4. Referral Payout Amount and Payment Terms

• For each qualified referral, you will receive $100 (subject to any applicable taxes or withholdings)
• Payments will be issued within 90 calendar days following the referred customer’s first date of electricity supply
• Payment will be made via ACH (direct deposit) or another method designated by BKV Energy. You are responsible for providing accurate payment information.

5. Taxes and Reporting

Program participants are responsible for all applicable federal, state, and local taxes associated with receipt of Program payments. BKV Energy may issue IRS Form 1099 or other tax documentation as required by law.

6. Program Modifications

We may amend or terminate the Program or these Terms at any time, with or without notice, for any reason. Changes will be effective upon posting at https://bkvenergy.com/bkv-energy-realtor-referral-income-program. Continued participation following any update constitutes your acceptance of the modified Terms.

7. Fraud and Misuse

Any fraudulent activity, misuse of the referral system, or behavior deemed inconsistent with the spirit of the Program may result in disqualification and forfeiture of any pending or future rewards.

BKV Energy reserves the right to audit referral activity and deny payments where abuse is suspected.

8. Limitation of Liability

To the maximum extent permitted by law, BKV Energy shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to this Program. Our total liability shall not exceed the total amount of payments paid to you under the Program.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be resolved in the courts located in Harris County, Texas.

11. Referral Agreements for Brokerages or Leasing Offices

If you are participating on behalf of a brokerage, leasing office, or property management firm:

• You must represent that you are authorized to bind your organization to these Terms
• You must notify us of the individual(s) responsible for managing referrals and receiving payments
• Payments may be issued to the organization or to a designated agent, depending on your preferred structure and documentation
• We may request additional verification of employment or authorization before releasing funds

12. Privacy and Data Use

We respect your privacy. By participating in this Program, you acknowledge and agree that:

• Any personal information you provide (including your name, contact information, and payment details) will be processed by BKV Energy solely for the purpose of administering the Program
• Referral activity and performance data may be shared internally within BKV Energy or with authorized service providers strictly for payment processing, fraud prevention, or performance optimization
• We will never sell or disclose your information to third parties for marketing purposes
